What is the minimum information necessary to generate a Non-binding offer in the purchase of network infrastructure? Ebitda only?

I believe that the purchasing company is correct , as without basic technical details there could be impact during implementation or special condition… Seller is just to sell and cash not to integrate and assure this infrastructure working fine!

I think from the seller company’s perspective they wouldn’t want to give a lot of details about their business in a nonbinding offer. After seeing the P&L if the purchaser is really interested they should think about putting a framework that could lead to a binding offer e.g. that the founders will have to stay in the company and fulfill certain requirements before they could cash out.
