Which country? There’s precedent in South Africa between Cell C and Vodacom, but the regulatory environment will play a pivotal role in the drafting of certain clauses of the agreement.

Hello Alaa, Apart from the country regulations major things that goes in the draft agreement are the - Mobile Services & performance, MVNO obligations, Commercial forecast, Wholesale charges, Technical integration, Implementation, lawful interception and so forth. In addition regular agreement clauses such as Termination, Indemnities, resolution process and so forth. Then we have the schedules and annex on Tariff, technical specifications, SLA and so forth. Available for any consulting services you need on MVNOs from Project initiation, Commercial negotiation, contract management, technical and architecture for all models of MVNOs, Vendor management, Program/Project management and Operations.

Hi Alaa, I have worked on MVNO deals and platforms in Europe, US and Latam. A crucial and underestimated part specially in the full MVNO set-up is to bring business, tech and legal in line in one contract, as there are high dependencies. uluehrig@esceno.com
Hi Alaa, I have had significant experience negotiating multiple MVNO deals with operators. A lot of things have been already said. I add be careful with a long term agreement. The first year is ok, the second acceptable, the third is not aligned with de market and you need to renegotiate again. Avoid traps in negotiations. Be sure you add clause preventing changes in the retail market conditions. Regards

Hi Alaa, it is also important to understand the scope of the MVNO deployment as that will determine the specifics relevant to the agreement in addition to the legal and regulatory clauses.

Depending on the country which MVNO operates in, MVNO established where (if different) , Regulatory Body is the key . I had some ethnic-MVNO (for a subscribers living and working in EU) works during my Telco expertise in Turkey
